These Terms of Service ("Terms") govern your access to and use of the Graystone Solutions website at https://graystone.solutions, and of all Graystone AI Solutions products and applications (together, the "Services").
The Services are operated by Graystone Security Solutions LLC, a Wyoming limited liability company that does business as Graystone Solutions ("we," "us," or "our").
Graystone AI Solutions is the name for the family of artificial intelligence products that we produce. Individual products are made available under their own product names and may carry additional product-specific terms. Where a product-specific term conflicts with these Terms, the product-specific term applies to that product.
In these Terms, the Assistant means the artificial intelligence assistant in a product; the AI Services means the processing features the Assistant performs on material you submit; and a Submitted Item means a file, recording, or document that you knowingly send to us for a specific processing operation.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who May Use the Services
1.1 Age Requirement
You must be at least 18 years old to create an account or use the Services. The Services are not offered to anyone under 18.
1.2 Registration
Registration is open to the public. You may create an account through our applications or our website, including by using Sign in with Apple. Some products or features may be released in stages, and we will tell you at the point of signup which access model applies to a given product.
1.3 One Account
Create one account for yourself. Do not create an account for another person, and do not share your account.
1.4 Account Responsibility
You are responsible for keeping your credentials confidential and for all activity under your account. If you believe your account has been compromised, tell us immediately at privacy@graystone.solutions.
1.5 Accurate Information
Give accurate and complete information when we ask for it. False information, including impersonating another person, is grounds for immediate termination.
2. The Services
2.1 What the Services Do
Graystone AI Solutions products let you store, organize, index, and retrieve your own files and documents on storage that you control. The Assistant sets up the storage, indexes your material, and helps you find and organize it, so that you do not need system administration skill to run it. You may share material with other users directly between your environment and theirs.
Where you choose to buy them, the AI Services perform specific processing operations on material you submit — for example, transcribing a voice recording and returning a summary.
2.2 What the Services Are Not
The Assistant is not a licensed attorney, a financial adviser, a medical professional, or a certified security auditor. Nothing it produces is legal, financial, medical, or professional security advice.
Its output can contain errors, omissions, and outdated information. We make no warranty that any output is accurate, complete, or fit for any purpose. Check the output before you rely on it. This is particularly important for anything you intend to act on, send to another person, or put on a record.
2.3 You Are Interacting With an Artificial Intelligence System
The Assistant is software. It is not a human being and it is not supervised by a human being in real time. We tell you this plainly so that you are never in doubt about it.
2.4 Your Storage and Your Keys
Your content is held in storage that you control, encrypted under keys generated on your device. You agree that:
- (a) The keys are yours to keep. You are solely responsible for generating, safeguarding, and backing up your encryption keys and any recovery material, and for the security of the devices that hold them. We operate no key escrow.
- (b) We cannot recover your content. Because we never hold your keys, we cannot read, restore, reset, or recover your encrypted content. If you lose your keys or your device and you have no backup, your content may be permanently and irrecoverably lost. You accept that risk.
- (c) Your storage provider, your agreement. Where you keep encrypted data in a cloud account of your choosing, your relationship with that provider is governed by that provider's terms. We are not a party to it and we have no access to that account.
- (d) Sharing is your decision. When you share content, you choose the recipient. Once shared, the content is encrypted to that recipient and we cannot recall it or decrypt it.
- (e) Moderation is limited by design. Because we cannot see content we cannot read, our ability to moderate it is limited. We enforce Section 3 at the account level.
2.5 Service Availability
We do not guarantee uninterrupted access. We may carry out maintenance, updates, and emergency work at any time. We will make reasonable efforts to give notice of planned downtime.
3. Acceptable Use
3.1 Permitted Use
You may use the Services for lawful personal, professional, and business purposes, consistent with these Terms.
3.2 Prohibited Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Generate, store, or distribute illegal content
- Produce content that is defamatory, harassing, threatening, or abusive toward any person
- Extract, reverse engineer, or circumvent the artificial intelligence models, the cryptography, or the infrastructure
- Probe, scan, or test the security of our systems without our written authorization
- Generate malware, exploit code, phishing content, or any material designed to cause harm
- Impersonate any person or entity, including our staff
- Violate the privacy of others, including harvesting personal data without consent
- Manipulate or deceive the Assistant into acting against its operational guidelines
- Compete with us using the Services, without our prior written authorization
3.3 Prohibited High-Risk Uses
Do not use the Services, or any output of the Services, as the basis for:
- Medical diagnosis, treatment, or any other clinical decision
- Legal advice, or a filing or submission to a court or agency
- A decision about a person's employment, credit, housing, insurance, or education
- The operation of any safety-critical system, including vehicles, aircraft, medical devices, industrial control, and emergency response
The Services are not designed, tested, or certified for these purposes.
3.4 Your Content, and No Training
You keep ownership of everything you submit.
When you send us a Submitted Item for a processing operation, you grant us a limited license to process that item for the duration of that operation and for no other purpose. The license ends when the operation finishes. For content that stays in your own storage, no license is needed or granted, because we never receive it.
We do not use your content to train, fine-tune, or evaluate any artificial intelligence model. We do not send your content to any third-party artificial intelligence provider. Our Privacy Policy states the same thing, and the two documents are to be read together.
3.5 Rights in Output
As between you and us, you keep whatever rights exist in the output the Assistant produces for you, and you may use it for any lawful purpose.
You should understand two limits. We give no warranty that output is original, or that it does not resemble output produced for another user, because similar requests can produce similar results. We also make no representation about whether any particular output attracts copyright protection at all, which is a question of law in your jurisdiction and not something we can decide for you.
3.6 Enforcement
We may suspend or terminate your access immediately, and without notice, if we determine that you have violated these Terms.
4. Purchases, Credits, and Subscriptions
4.1 How You Can Buy
Paid features may be offered through more than one channel, and the channel available to you is stated at the point of sale:

We may add, change, or withdraw a channel. Nothing in these Terms promises that any one channel will remain available.
4.2 Credits
Some capabilities are metered and require credits, sold in packages. What each package includes, and what it costs, is stated at the point of sale. Credits are consumed as you use the metered capability.
Consumed credits are non-refundable. Unconsumed credits have no cash value and cannot be transferred between accounts. Credits do not expire, but access to them depends on your account remaining in good standing.
4.3 Subscriptions and Automatic Renewal
A subscription gives you access to a feature or a tier for a stated period.
A subscription renews automatically at the end of each period, at the then- current price, and continues until you cancel it. The period and the price are stated at the point of sale and before you confirm.
4.4 Cancellation
You may cancel at any time. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
- Subscriptions bought in the App Store are managed in your Apple account settings. Only you can cancel them there. We cannot cancel them for you.
- Subscriptions bought on our website can be canceled from your account settings, or by emailing privacy@graystone.solutions.
Deleting your account does not, by itself, cancel an App Store subscription. Cancel the subscription in your Apple account settings as well.
4.5 Price Changes
We may change prices. For a subscription, we will give you notice before a price change takes effect, and you may cancel before it applies to you. A price change never affects credits you have already bought.
4.6 Refunds
App Store purchases. Apple is the seller and handles refunds under its own policy. Request a refund from Apple, using Apple's "Report a Problem" process. We cannot issue a refund for an App Store purchase.
Website purchases. We may consider a refund on a wholly unused package within 7 days of purchase, at our discretion. If you believe credits were consumed because of a technical fault on our side, contact privacy@graystone.solutions within 14 days and we will investigate.
Nothing in this section limits any refund right you have under the consumer law that applies to you.
4.7 Payment Data and Taxes
We do not store your payment card details. Payments are handled by Apple or by our payment processor, and their terms apply to that payment. You are responsible for applicable taxes. We collect and remit tax where the law requires it.
5. Intellectual Property
5.1 Our Property
The Services — including their software, system architecture, cryptographic design, visual design, and documentation — are our intellectual property. All rights reserved.
This includes the names and personas of our products, whether or not they have been publicly released, together with all associated marks, logos, and device designs, and all pending and future trademark applications and registrations for them. Nothing in these Terms gives you any right in our marks or our technology, other than the limited right to use the Services.
5.2 Your Property
You keep all rights in the content you create and submit. You confirm that you have the right to submit anything you send us.
5.3 Feedback
If you send us feedback, suggestions, or ideas, you grant us a perpetual, royalty-free license to use them, with no obligation or payment to you.
6. Privacy
Your use of the Services is subject to our Privacy Policy at https://graystone.solutions/privacy-policy/. It describes what we collect, how processing works, how long we keep things, and your rights. By using the Services you acknowledge the practices described there.
7. Disclaimers and Limitation of Liability
7.1 No Warranties
The Services are provided "as is" and "as available," without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that output is accurate, reliable, or error-free.
7.2 Data Loss and Key Loss
To the maximum extent the law permits, we are not liable for any loss of content, or any inability to recover content, that results from the loss of your encryption keys, the loss or failure of your devices, the choices you make with a third-party storage provider, or the design of the Services under which we hold neither your content nor your keys. That design protects you. Its necessary consequence is that we cannot recover what we cannot reach.
7.3 Limitation of Liability
To the maximum extent the law permits, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services or your inability to use them, including lost profits, lost data, and business interruption, even if we were advised of the possibility.
Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid us in the 12 months before the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. Where that is so, the exclusions and limits above apply only as far as the law permits, and nothing in these Terms limits liability that cannot lawfully be limited.
7.4 Security
Nothing in the Services is a guarantee of security, or a representation that any system, practice, or configuration is free from vulnerabilities. Security is a continuous process and no solution removes all risk. We do not use breach-prevention language, because no security professional can guarantee that a breach will be prevented.
8. Indemnification
You agree to indemnify, defend, and hold harmless Graystone Security Solutions LLC and its officers, employees, and agents against any claim, demand, liability, damage, loss, or expense, including reasonable attorneys' fees, arising from your use of the Services, your violation of these Terms, or your violation of any third-party right.
9. Termination
9.1 By You
You can delete your account from inside the application at any time. Deletion removes your account record, your Assistant memory entries, and your published identifiers, as described in our Privacy Policy. You may also contact privacy@graystone.solutions.
Two things to note. Deleting your account does not delete content held in your own storage, which stays under your control, and does not withdraw content you have already shared with a recipient. Deleting your account does not cancel an App Store subscription — see Section 4.4.
9.2 By Us
We may suspend or terminate your account, with or without cause and with or without notice. Grounds include violation of these Terms, abusive behavior, and non-payment.
9.3 Effect of Termination
On termination your right to use the Services ends immediately. Sections 3.4, 3.5, 5, 7, 8, 10, and 11 survive termination.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Any dispute will first be submitted to good-faith negotiation. If that does not resolve it, the dispute will be settled by binding arbitration under the rules of the American Arbitration Association, in Sheridan, Wyoming, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to take part in a class action or class-wide arbitration.
If you are a consumer resident in the European Economic Area or the United Kingdom, nothing in this section removes your right to bring proceedings in the courts of your country of residence, or your right to the protection of the mandatory consumer law of that country.
11. General
11.1 Entire Agreement. These Terms, our Privacy Policy, and any product-specific terms are the entire agreement between us about your use of the Services.
11.2 Severability. If any provision is unenforceable, the rest stay in effect.
11.3 No Waiver. If we do not enforce a provision, we do not waive our right to enforce it later.
11.4 Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
11.5 Changes to These Terms. We may update these Terms. Where a change is material we will tell you, by a notice in the application or by email to the address on your account, before it takes effect. If you continue to use the Services after that, you accept the change. If you do not accept it, stop using the Services and delete your account. Section 13 records the history.
